1. Objet
Les présentes conditions régissent l’utilisation de Secondsight Ledger Connector (l’« Outil »), un outil interne développé par Secondsight Advisors Corporation (« Secondsight ») pour accéder, avec autorisation, aux dossiers QuickBooks Online de ses clients. En autorisant la connexion de l’Outil à votre dossier QuickBooks Online, vous (le « Client ») acceptez les présentes conditions.
2. Usage restreint
L’Outil n’est pas un produit offert au public. Il est utilisé uniquement par Secondsight et son personnel pour fournir les services prévus à la lettre de mandat ou à l’entente de services conclue avec le Client (l’« Entente »). En cas de conflit, l’Entente a préséance sur les présentes conditions.
3. Autorisation et révocation
- La connexion est établie par un administrateur du dossier QuickBooks du Client, au moyen du processus d’autorisation d’Intuit.
- Le Client peut révoquer l’accès en tout temps, depuis QuickBooks Online ou en avisant Secondsight par écrit. Secondsight révoque l’accès à la fin de l’Entente.
4. Utilisation des données
Secondsight accède aux données du Client uniquement pour exécuter l’Entente. Les données sont traitées conformément à notre Politique de confidentialité. Secondsight ne vend pas les données du Client et ne les communique pas à des tiers, sauf aux fournisseurs de services nommés dans la Politique de confidentialité ou lorsque la loi l’exige.
5. Modifications aux livres
Sauf instruction écrite contraire du Client, l’Outil est configuré en lecture seule. Toute écriture ou modification aux livres comptables du Client n’est effectuée que dans le cadre de l’Entente et avec l’approbation du Client.
6. Propriété
Le Client demeure propriétaire de ses données. Secondsight demeure propriétaire de l’Outil. Aucune licence sur l’Outil n’est accordée au Client autre que l’autorisation de le connecter à son dossier aux fins de l’Entente.
7. Responsabilité
L’Outil est fourni « tel quel ». La responsabilité de Secondsight à l’égard des services est régie par l’Entente. Dans la mesure permise par la loi, Secondsight n’est pas responsable des interruptions ou des erreurs attribuables à QuickBooks Online ou à Intuit.
8. Droit applicable
Les présentes conditions sont régies par les lois de la province de Québec et les lois du Canada qui s’y appliquent.

1. Purpose
These terms govern the use of Secondsight Ledger Connector (the “Tool”), an internal tool developed by Secondsight Advisors Corporation (“Secondsight”) to access its clients’ QuickBooks Online companies with their authorization. By authorizing the Tool to connect to your QuickBooks Online company, you (the “Client”) accept these terms.
2. Restricted use
The Tool is not offered to the public. It is used only by Secondsight and its staff to deliver the services set out in the engagement letter or services agreement with the Client (the “Agreement”). If these terms conflict with the Agreement, the Agreement prevails.
3. Authorization and revocation
- The connection is made by an administrator of the Client’s QuickBooks company, through Intuit’s authorization process.
- The Client may revoke access at any time in QuickBooks Online or by notifying Secondsight in writing. Secondsight revokes access when the Agreement ends.
4. Use of data
Secondsight accesses Client data only to perform the Agreement. Data is handled as described in our Privacy Policy. Secondsight does not sell Client data or disclose it to third parties, except to the service providers named in the Privacy Policy or where required by law.
5. Changes to the books
Unless the Client instructs otherwise in writing, the Tool is configured as read-only. Any entry or change to the Client’s books is made only under the Agreement and with the Client’s approval.
6. Ownership
The Client keeps ownership of its data. Secondsight keeps ownership of the Tool. No licence to the Tool is granted to the Client beyond permission to connect it to the Client’s company for the purposes of the Agreement.
7. Liability
The Tool is provided “as is”. Secondsight’s liability for its services is governed by the Agreement. To the extent permitted by law, Secondsight is not liable for outages or errors caused by QuickBooks Online or Intuit.
8. Governing law
These terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there.
